Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and LenZ (“LenZ,” “we,” “us,” or “our”), governing your access to and use of the LenZ platform, website at mylenz.app, and any related services (collectively, the “Service”).

We may update these Terms at any time. Material changes will be communicated by email or a prominent notice within the Service at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Eligibility

You must meet all of the following conditions to use the Service:

• You must be at least 13 years of age. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
• You must have the legal capacity to form a binding contract in your jurisdiction.
• Your use of the Service must not be prohibited by applicable law.
• You must not have previously been permanently banned from the Service by us.

By using the Service, you represent and warrant that you meet all eligibility requirements.

3. Your Account

3.1 Registration

You must register for an account to use the Service. You agree to provide accurate, complete, and current information during registration and to update it as necessary to keep it accurate. You may not impersonate any person or entity or use a username that is offensive, misleading, or that you do not have the right to use.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately at support@mylenz.app if you suspect unauthorised access to your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

3.3 One Account Per Person

You may not create more than one account per person. Duplicate or fraudulent accounts are subject to immediate termination.

3.4 Account Transfer

Your account is personal to you and may not be transferred, sold, or assigned to any other party.

4. User Content

4.1 Your Ownership

You retain full ownership of the content you post on the Service (“User Content”), including photos, videos, captions, and comments. These Terms do not transfer any intellectual property rights from you to LenZ.

4.2 Licence You Grant Us

By posting User Content, you grant LenZ a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, distribute, display, and transmit your User Content solely for the purposes of operating, providing, and improving the Service. This licence terminates when you delete the content or your account, except where copies persist in standard backup retention periods (up to 30 days).

4.3 Your Representations

By posting User Content, you represent and warrant that:

• You own the content or have all necessary rights, licences, and permissions to post it and to grant the above licence.
• Your content does not infringe the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.
• Your content complies with these Terms and all applicable laws.

4.4 Content Moderation

We reserve the right (but not the obligation) to review, remove, or disable access to any User Content that, in our sole discretion, violates these Terms or is otherwise harmful to users, the Service, or third parties. We are not liable for any failure to remove or delay in removing harmful content.

5. Prohibited Conduct

You agree that you will not, and will not assist others to:

• Post content that is illegal, defamatory, obscene, pornographic, or violates any third-party rights.
• Post content that constitutes harassment, bullying, threats, hate speech, or discrimination based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Impersonate any person, entity, or brand, or misrepresent your affiliation with any person or organisation.
• Post spam, unsolicited advertising, or any content designed to manipulate the Service's features.
• Upload malware, viruses, or any code designed to disrupt, damage, or gain unauthorised access to any system.
• Attempt to scrape, crawl, or systematically download content from the Service without our express written permission.
• Circumvent, disable, or interfere with security features of the Service, including authentication mechanisms.
• Use the Service to facilitate the sale of or distribution of illegal goods, drugs, weapons, or human trafficking.
• Violate the privacy of others, including by sharing another person's private information without their consent (doxxing).
• Use automated systems or bots to interact with the Service in any way not expressly permitted.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Access the Service in a manner that could damage, disable, or impair its performance.

Violation of this section may result in immediate account suspension or termination and may be referred to law enforcement authorities.

6. The LenZ Posting System

The Service operates on a time-based posting model (“Wraps”). You acknowledge and agree that:

• Posts submitted within a posting window are locked and not visible to other users until the designated unlock time (8:00 AM or 8:00 PM in your local time zone).
• Posted content that has been submitted and locked cannot be edited after submission, only deleted.
• Wraps that have unlocked and been viewed by others may be seen even after you delete the post from your profile, until caches expire.
• We reserve the right to change posting windows, limits, or the Wrap format with reasonable notice.

7. Intellectual Property

7.1 LenZ Intellectual Property

The Service, including its design, logos, text, graphics, software, and all other content not posted by users, is owned by or licenced to LenZ and is protected by copyright, trademark, and other intellectual property laws. The LenZ name, “LenZ” wordmark, and logo are trademarks of LenZ. You may not use our trademarks without our prior written consent.

7.2 Feedback

If you submit ideas, suggestions, or feedback about the Service (“Feedback”), you grant us a perpetual, irrevocable, royalty-free licence to use, implement, and otherwise exploit that Feedback without any obligation to you.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of third-party sites. Visiting a third-party link is at your own risk. We do not endorse any third-party content, products, or services.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) defects will be corrected; (c) the Service or the servers that make it available are free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LENZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless LenZ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

12. Termination

12.1 By You

You may stop using the Service and request deletion of your account at any time by contacting us at support@mylenz.app. Upon deletion, your profile and posts will be removed subject to the retention periods described in our Privacy Policy.

12.2 By Us

We may suspend or permanently terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or if your conduct may cause harm to other users, third parties, or us. We may also discontinue the Service, or any part of it, at our discretion.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 4.1, 7, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law and Disputes

These Terms and any disputes arising out of or related to them or the Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Before initiating any formal dispute proceeding, you agree to contact us at legal@mylenz.app and attempt in good faith to resolve the dispute informally within 30 days.

If the dispute is not resolved informally, you and LenZ agree that any legal action shall be brought in a court of competent jurisdiction. Both parties waive any right to a jury trial to the maximum extent permitted by applicable law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LenZ regarding the Service and supersede all prior agreements or understandings.

14.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

14.4 Assignment

We may assign our rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.

14.5 Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet infrastructure failures.
